Constructive guidance on the withholding of consent in commercial agreements has been issued by the High Court in the case of Porton Capital Technology Funds and others v 3M UK Holdings Ltd and 3M Company [2011] All ER (D) 171 (Nov). In assessing whether they should grant their consent to another party’s proposed course of action under a commercial agreement organisations should consider carefully the principals laid down in Porton.
