Auction sales

Auction processes play an important role in particular industries, eg in the private equity industry, in government privatisations, or in large value transactions. A share sale by way of auction is designed to elicit competitive bidding for the target company amongst interested parties at the highest price and on the best possible terms. For the seller, there is a high certainty that the sale will be completed to a preferred bidder (which is preferable from management's point of view).

LSE confirms final rules for Private Securities Market following consultation

The London Stock Exchange (LSE) has confirmed the final version of its rules for the Private Securities Market, which operates as a Private Intermittent Securities and Capital Exchange System (PISCES). It says no changes were proposed in relation to the Rules of the LSE or the Admission and Disclosure Standards.

Takeover Panel updates Code, issues new Notes to Advisers and refreshes Disclosure Table

The Takeover Panel has confirmed that amendments to the Takeover Code on dual class share structures, IPOs and share buybacks have taken effect, and has published a new Note to Advisers on IPOs/admissions and a revised Note to Advisers on Rule 9 waivers. It has also launched a beta Disclosure Table incorporating legal entity identifier information ahead of a planned replacement of the existing table on 1 April 2026.

FRC publishes updated strategic report guidance and scoping tables

The Financial Reporting Council (FRC) has published updated guidance on the strategic report along with revised scoping tables. The guidance has been updated to reflect changes to legislative and regulatory requirements including amendments to directors’ report disclosures under the Companies (Accounts and Reports) (Amendment and Transitional Provision) Regulation 2024, SI 2024/1303 changes introduced by the UK Corporate reporting practice. The scoping tables have been revised to support companies in complying with Companies Act 2006 disclosure requirements for the strategic report, directors’ report and the energy and carbon report, reflecting reporting of payment practice as set out in the Companies (Directors’ Report) (Payment Reporting) Regulations 2025, SI 2025/1152.
