Allotment, issue and pre-emption

Subject to certain exceptions, the Companies Act 2006 (CA 2006) requires that:

•
the directors of a company must not exercise any power of the company to allot shares in the company (or to grant rights to subscribe for, or convert any security into, shares) other than in accordance with CA 2006, and
•
a company must not allot equity securities to a person on any terms unless it has first made an offer to allot those equity securities to each of its ordinary shareholders in accordance with CA 2006 (and the period during which the offer may be accepted has expired or the company has received either an acceptance or refusal of every offer made)—this right of first refusal is known as a pre-emption right

Cabinet Office publishes consultation response on NSI Act 2021

The Cabinet Office has published its response to the consultation on the National Security and Investment Act 2021 (Notifiable Acquisition) (Specification of Qualifying Entities) Regulations 2021 (NSIA 2021), SI 2021/1264. The response summarises feedback received during the consultation period and outlines the changes the government will implement for each schedule of the Notifiable Acquisition Regulations. The document specifically addresses proposed modifications to NSIA 2021.

Parker Review Committee publishes 2026 report on ethnic diversity in UK businesses

The Parker Review Committee has published its 2026 report on improving ethnic diversity in UK businesses, based on data collected for the period ending 31 December 2025. The report shows continued progress across the FTSE 350. In the FTSE 100, 98 out of 100 companies now meet the target of having at least one minority ethnic director on their boards, up from 95 companies in 2024. Minority ethnic directors now hold 20% of all FTSE 100 board positions, the highest proportion recorded since the review began. In the FTSE 250, 205 out of 231 responding companies have at least one minority ethnic director, representing 89% of those reporting and maintaining the overall figure of 82% of the full index meeting the target.

FCA publishes CP26/8: Quarterly consultation paper No. 51

The Financial Conduct Authority (FCA) has published Consultation Paper CP26/8 as part of its ongoing reform of the UK public markets framework following the introduction of the UK Listing Rules (UKLR) sourcebook and the Prospectus Rules: Admission to Trading on a Regulated Market (PRM) sourcebook. Among other matters addressed, the consultation paper identifies certain areas where the drafting of the PRM and UKLR does not fully reflect previously consulted upon and finalised policy intent or has created unintended compliance burdens in practice. It proposes amendments seen primarily as clarificatory to the UKLR and PRM sourcebooks.
