The definitions and interpretation clause should include all of the individual defined terms that are included in an agreement and all of the provisions that are to apply to the general interpretation of an agreement and, if necessary, of certain phrases used with it. The defined terms and the interpretation provisions will normally be set out in two separate sub-clauses. The definitions and interpretation clause will usually be found at the beginning of an agreement and the terms will be set out in alphabetical order for ease of reference.

The purpose of defining terms is to avoid:

ISDA warns BoE on risks of mandatory haircuts and clearing rules

The International Swaps and Derivatives Association (ISDA) has responded to the Bank of England’s (BoE) discussion paper on gilt market resilience. It urges the BoE to consider existing capital and liquidity requirements for repo transactions alongside monetary policy and financial stability aims before making changes that could disrupt the gilt repo market. ISDA warns that introducing mandatory minimum haircuts or expanding clearing requirements could increase funding costs, reduce liquidity and weaken demand for gilts. It instead points to risk-management practices consistent with Basel Committee guidelines for counterparty credit risk management and US Treasury market best practices as suitable reference points.

MoJ announces UK among first to recognise digital assets as personal property

The Ministry of Justice (MoJ) has announced that England, Wales and Northern Ireland are now among the first jurisdictions in the world to confirm in law that digital assets such as cryptocurrency and non-fungible tokens (NFTs) can be recognised as personal property. Under the Property (Digital Assets etc) Act 2025, this recognition provides clearer legal protections and aligns digital assets with the treatment given to traditional forms of property. The Act establishes a new category of personal property specifically for digital assets, allowing them to be inherited, transferred and recovered in insolvency proceedings in the same way as traditional assets.
