This Contract comprises the completed Riba Standard Professional Services contract 2020 (2024 amendment) published by the Royal Institute of British Architects subject to the following amendments:

In each case after ‘on the terms attached hereto as Appendix’, delete ‘provided such terms are substantially no more onerous than the above’.

CONTRACT CONDITIONS

Definition of Terms

Insert new definitions as follows:

‘Assignment of Receivables Regulations: the Business Contract Terms (Assignment of Receivables) Regulations 2018, SI 2018/1254.’
‘Force Majeure:means any event or sequence of events beyond a party’s reasonable control[ and that could not have been reasonably anticipated or avoided] and which prevents it from, or delays it in, performing its obligations under this Contract including[, but not limited to,] (a) an act of God, fire, flood, drought, earthquake, windstorm or other natural disaster; (b) an act of any sovereign including war (or threat of, or preparation for war), armed conflict (or threat of, or preparation for, armed conflict), invasion, act of foreign enemies, hostilities (whether war be declared or not), rebellion,
