2.1 Purpose of recitals

The purpose of a recital is to explain the background to an agreement. For example, a recital may:

  1. (a)

        refer to a previous agreement that the current one replaces or specify that the current one is part of a series of agreements (this type of recital explains the status of the current agreement to help users of the document now or in the future understand it and its relation to the other agreement(s)); or

  2. (b)

        contain a number of statements on the role or expertise of
