Payment of dividends in the form of additional shares rather than cash.
PRACTICE NOTES
A company has an implied power to distribute its profits to its members, unless its articles of association provide otherwise. A dividend is one type of distribution that may be made by a company to its members. In fact, dividends are the most common type of distribution made by a company. The provisions of Part 23 of the Companies Act 2006 (CA 2006) and the common law rules relating to distributions (as modified by those provisions) must be complied with if a company is to make a lawful distribution. For consideration of the law and practice relating to distributions made by a company, see Practice Note: Distributions. For information on the consequences of non-compliance with the law on distributions, see Practice Note: Unlawful distributions. The ordinary meaning of 'dividend' is a share of profits, whether at a fixed rate or otherwise, allocated to the holders of shares in a company. It is used in relation to payments made to shareholders as shareholders and not, eg, by way of remuneration for services. A dividend is typically satisfied by a

Property Disputes analysis: The High Court has held that a landlord of commercial premises had been significantly overcharging its tenant insurance rent by taking a commission as part of the insurance premium. The landlord (part of the Criterion Group which holds a portfolio of property worth over £4bn) was ordered to repay over £700,000 to its tenant. This is a significant judgment for practitioners with landlord and/or tenant clients and group litigation seems likely to follow if an appeal is not mounted by the landlord or is unsuccessful. Written by Tiffany Scott KC, barrister at Wilberforce Chambers.

Corporate Crime analysis: After a case of fraud that led to the Legal Aid Agency (LAA) paying out millions of pounds for immigration advice that transpired to have been fabricated, scrutiny turned to the limitations of a local authority to prosecute on behalf of the LAA. Richard Heller, barrister at Drystone Chambers, outlines the decision in R v AB and says the judgment provides much clarity on where the law stands.
PRACTICE NOTES
The Investigatory Powers Act 2016 (IPA 2016) provides the legal framework governing the use of covert surveillance by public bodies which previously had been contained in the Regulation of Investigatory Powers Act 2000 (RIPA 2000), and other legislation. IPA 2016, Pt 8 establishes the office of the Investigatory Powers Commissioner (IPC), who is supported by other Judicial Commissioners. IPA 2016, Pt 8 is intended to provide independent oversight of the use of the powers contained elsewhere in IPA 2016, in part in response to concerns as to the broad scope of those powers. In May 2021, the Grand Chamber of the European Court of Human Rights ruled that independent (not necessarily judicial) oversight of the authorisation and use of bulk interception powers was an important feature of the modern regulation of investigatory powers. The Investigatory Powers Commissioner’s Office (IPCO) oversees the use of covert investigatory powers by public authorities, which includes the UK’s intelligence agencies, law enforcement agencies, police, councils and prisons.

ARCHIVED: This archived Practice Note is not being maintained. For information on the scrutiny of intelligence gathering, see Practice Note: Scrutiny of intelligence gathering and the role of commissioners under the Investigatory Powers Act 2016. The Investigatory Powers Act 2016 (IPA 2016) received Royal Assent on 29 November 2016 and overhauled the existing legal framework governing the use of covert surveillance by public bodies, a framework which at present is largely, but not exclusively, set out by the Regulation of Investigatory Powers Act 2000 (RIPA 2000). For a detailed review of the background which led to the introduction of IPA 2016, as well as an overview of the key provisions of IPA 2016, see Practice Note: The regulation of intelligence gathering—an introductory guide. The provisions of IPA 2016, Pt 8, which relate to the scrutiny of interception are in force. IPA 2016 created a more powerful independent Investigatory Powers Commission (IPC) to oversee the use of these powers. The IPC merges the offices of Interception of Communications and Surveillance and Intelligence
