GLOSSARY
A company is required to register an allotment of debentures as soon as practicable and in any event, within two months after the date of the allotment (CA 2006, s 741), so the company may choose to maintain a register of debentures in order to comply with this requirement, rather than including such details in the register of charges. See also non-statutory registers.
GLOSSARY
Every company must keep a register of its directors. The particulars required to be included in the register depend on whether the director is an individual or a corporate director (CA 2006, s 162). The register of directors must be available for inspection at the company’s registered office (or at its single alternative inspection location). The register must be open to inspection by any member of the company, free of charge. The register must also be open to inspection by any other person on payment of a prescribed fee. There is no statutory provision allowing members or other persons to request a copy of the register of directors.
GLOSSARY
Every company must keep a register of directors' residential addresses. The register must state the usual residential address of each of the company's directors unless the director's usual residential address is the same as his service address, in which case the register may instead contain a statement to that effect. This does not apply if the director's service address is stated to be 'the company's registered office. The register of directors' residential addresses is not open for inspection by members or any other person (CA 2006, s 165).
