GLOSSARY
Term sheets or loan documentation may specify that lenders have a put option on a change of control. This means that they have the right to require prepayment, but there is not an automatic obligation on the borrower to repay all lenders. This provides flexibility to the lenders, as they may not wish to exit the loan at this point, and to the new sponsor (or whoever now controls the group), as it will not necessarily need to find new financing, depending on how many lenders take up the option. The put option may be ‘at par’, ie the right is to have the loan repaid at par value, or at, eg 101, ie at 1% above par.
