Dispute Resolution analysis: In the long-running litigation concerning Fi Call and its joint venture partners, Apex Global and Global Torch, Mr Justice Hildyard has now determined the unfair prejudice petition arguments under section 994 of the Companies Act 2006 (CA 2006) and the just and equitable winding-up claim under section 122(1)(g) of the Insolvency Act 1986 (IA 1986). Although the judgment is inevitably fact-sensitive, it provides a neat summary of the specific requirements for succeeding on either basis. It also considers the particular issue raised where one of the parties had been debarred from participating in the proceedings. His overall conclusion was to order the winding-up of Fi Call on the just and equitable ground with consequential orders as to rectification of the share register and payment in restitution following on from that.
