The Financial Conduct Authority (FCA) has published Primary Market Bulletin 65, covering regulatory announcements, delayed disclosure of inside information (DDII) and other primary market developments. The FCA warns issuers against vague, exaggerated, flamboyant or marketing-style language in regulatory announcements and highlights concerns where announcements are issued more frequently than their content appears to justify, are marked as containing inside information when they almost certainly do not or coincide with significant share price spikes. It states that where announcements stray too far from regulated information, the FCA will consider whether their content has become misleading for the purposes of the UK Listing Rules (UKLR) or, in the most serious cases, the UK Market Abuse Regulation (UK MAR). The FCA’s review of DDII notifications found no widespread or systemic failures under Article 17(4) of UK MAR but identified inconsistent practices in the classification and handling of inside information, including blanket classification of advanced financial reporting information, failures to reassess information during delay periods and automated or semi-automated processes triggering regulatory steps without meaningful opportunity for reassessment. The bulletin also introduces a new inside information declaration form for listings submissions through the Electronic Submission System (ESS), applying to all new equity cases, including guidance requests, from 21 September 2026.
