UK-registered company definition

What does UK-registered company mean?

A UK-registered company is a company registered under the Companies Act 2006 but does not include an overseas company under certain circumstances.

A UK-registered company is one that is formed and registered after the commencement of the Companies Act 2006 (CA 2006), pt 1,or a company that immediately before the commencement of CA 2006, pt 1, either: (1) was formed and registered under the Companies Act 1985 (CA 1985), or (b) was an existing company for the purposes of CA 1985. A 'UK-registered company' does not include an overseas company that has complied with the statutory duty to register particulars in specified circumstances.
