Restructuring & Insolvency analysis: The court upheld a claim for breach of director’s duties, preference, and transactions at an undervalue where, eight months prior to compulsory liquidation of Bodystretch (UK) Ltd (the Company), the director of the company had conducted an ‘informal winding-up’ by selling the Company’s principal asset, its premises, and dissipated the proceeds at a time when the Company was clearly insolvent, favouring certain alleged creditors (including himself and his father). In addition, in the 18 months preceding the sale, the director had received various unexplained payments from the company, which the court held he had failed, as a fiduciary, to explain such that they were made in breach of his duties to the Company and constituted transactions at an undervalue.
