In the context of the financial promotion regime, a person who meets the requirements set out in article 50 of the Financial Promotion Order that is, a person who has a written certificate signed within the last three years by an authorised person confirming the investor is sufficiently knowledgeable to understand the risks associated with that description of investment, and who has signed, within the period of 12 months ending with the day on which the communication of an invitation or inducement to engage in investment activity is made, a statement in the terms specified in article 50(1)(b) of the Financial Promotion Order. There is an exemption from the financial promotion rules for certain financial promotions made to certified sophisticated investors.

Contract for Difference: A commercial arrangement between the UK Government and low carbon generators to set the strike price for electricity generated by the new nuclear and other low-carbon generation facilities. They take the form of a pre-agreed per MWh price, when the market price is below this the Government will top up the price to that agreed strike price, when the market price is above that strike price the generator will pay the difference to the Government. The payments will be made through the CfD Counterparty Company. The agreement provides long term revenue stabilisation for low carbon generation.

The indicative timeline for Allocation Round 7 (AR7) of the Contracts for Difference (CfD) scheme has been published on the CfD AR Resource Portal. Applications for AR7 are expected to open in August 2025, with results anticipated between late 2025 and early 2026. For the first time, separate timelines have been established for offshore wind and non-offshore wind technologies.

The Centre for Governance and Scrutiny (CfGS) has responded to the English Devolution and Community Empowerment Act, urging the government to bolster accountability measures. In a letter addressed to Deputy Prime Minister Angela Rayner, CfGS Chief Executive Mel Stevens, welcomed the Bill's ambition to empower citizens but emphasised the necessity for enhanced oversight mechanisms.

Have there been any recent developments regarding the Chadian merger control regime and are any updates/developments expected in the coming year? Are there any other ‘hot’ merger control issues in Chad? The Chadian competition law is governed by Law No. 43/PR/2014, dated 24 December 2014, relating to competition (the Competition Law). The authority responsible for receiving notifications under this law is the National Competition Council, which was established pursuant to the Competition Law, Art 35. The National Competition Council’s members were appointed by Decree No. 284/PR/19, dated 12 March 2019. Chad is also a member of the Central African Economic and Monetary Community (CEMAC), which has its own competition law regime for mergers with a regional dimension. The CEMAC’s merger review regime is set out in Regulation No. 06/19-UEAC-639-CM-33, dated 7 April 2019 (the CEMAC Competition Regulation). In the context of circumstances triggering the requirement for a mandatory offer under Rule 9, where a person or group of persons acting in concert acquires shares resulting in a holding of over 50% of the voting rights of a company (which need not be a company to which the Code applies) which is itself interested, either directly or indirectly through intermediate companies, in a controlling block of shares in a second company, or in shares which, when aggregated with those which the person or group is already interested in, secure or consolidate control of the second company. A Rule 9 bid is not normally required unless either: (a) the interest in the second company's shares is significant to the first company (relative values of 50%+); or (b) securing control of the second company might reasonably be considered to be a significant purpose of acquiring control of the first company.
