The Welsh Government has published a summary of responses to its March 2025 consultation on proposed reform to the NHS dental services (GDS) contract in Wales. A total of 6427 responses were received. The consultation sought views on creating a single route of entry for people to access NHS dental services, implementing a fairer remuneration system, disincentivising unnecessary routine examinations, adjusting patient charges in line with changes to the remuneration system and collection methods, and revising contract terms and conditions, including provisions such as parental leave. The consultation sets out the policy changes required to implement the proposed reforms to NHS dental services in Wales. These changes will be enacted through legislation and directions, including the revocation of the National Health Service (General Dental Services Contracts) (Wales) Regulations 2006 SI 2006/490 and the National Health Service (Dental Charges) Regulations 2005, SI 2005/3477. New versions of these regulations, along with supporting directions, will be introduced.

The response confirms that DESNZ will proceed with the proposed amendments to schedule 2 of the CfD contract and the finalised CIB‑related CfD contract has been published alongside the response.

Commercial analysis: In a £56.4m breach of contract claim brought by Pretoria Energy, the court agreed with the Defendant that a document entitled ‘Heads of Terms of Proposed Agreement’ was not a binding and enforceable contract, other than in respect of a time-limited lockout provision which prevented either party from negotiating with anyone else. Documents labelled ‘Heads of Terms’ or various other names such as letters of intent, heads of agreement or documents headed ‘intention to proceed’ are commonly entered into during negotiations and disputes frequently arise over the whether such documents are legally binding. This case considered the legal principles relevant to determining whether such a document is legally binding. Written by Dov Ohrenstein, barrister at Radcliffe Chambers, who successfully represented the defendant and Jamie Cockfield, pupil barrister at Radcliffe Chambers.

The basic rule is that, where there are two or more trustees, they must act jointly. This rule is a corollary of the rule that trustees cannot delegate their duties—a trustee cannot appoint a co-trustee to perform his duties for him. This rule can be relaxed by the terms of the trust deed or statute. Whether the trust deed in this case allows a majority of trustees to enter into a contract that binds all trustees, including those who did not sign it, will depend on the construction of terms of the trust deed.
