Practice Notes

This Practice Note is archived and no longer maintained. It looks at the restructuring of Scottish company, Premier Oil plc, using two inter-conditional Scottish restructuring plans pursuant to Part 26A of the Companies Act 2006. It was the first time a Part 26A restructuring plan had been considered by the Scottish courts, only the fourth time a Part 26A restructuring plan had been considered (at that time), the first time a listed company had proposed a Part 26A Plan and potentially the first use of cross class cramdown (CCCD) under the new legislation. Written by Melissa Coakley, Sarah Jane O’Leary and Lewis Cymbal of Clifford Chance LLP.
