D9.512 Securities issued for earn-out rights

A qualifying earn-out right is a right conferred on a person (P)—1

  1.  

    (a)     which is all or part of the consideration for the transfer by P of shares in or debentures of a company or of a business or an interest in a business;

  2.  

    (b)     which is a right to be issued with securities of another company or a right that is capable of being discharged in accordance with its terms by the issue of such securities;

  3.  

    (c)     where the value of the consideration cannot be valued at the time when the right is
