D5.157 Non-small company dividend exemption: shares accounted for as liabilities

Distributions will be exempt if they fall within one or more of the five exempt classes as summarised in D5.152, one of these is where the dividend is in respect of shares accounted for as liabilities1, note that this exemption only applies to dividends and not other distributions.

A dividend falls into this class of exemption if it is paid in respect of a share that would be treated as a shares accounted for as a liability under CTA 2009, s 521C but for the fact that the shares are not
