5     How to register an employer/employee

5.1     Employer registration

Business registration number

New businesses have an obligation to first register an appropriate business structure at the Uganda Registration Services Bureau (URSB). Types of registrations recognised in Uganda are:


    •     Sole proprietorship (self-employed)


    •     Partnerships – can be up to 20 partners each remaining personally liable for the partnership's debts as a whole


    •     Limited company – no minimum capital to start but needs minimum of two directors and one shareholder


    •     Company limited by guarantee – memorandum defines the liability of each member, usually used for charities and associations


    •     Unlimited company – rarely used, which similarly to partnerships, sets no limit on members' liability


    •     Public limited company

The Companies Act 2012, provides for model articles, which can be adopted by a company when registering. The company then needs to supply:


    •     completed Companies Registration Form (S.18)
