Transfer of a business as a going concern (TOGC)

The transfer of a business or part of a business (as set out in the Estonian Law of Obligations) is deemed to be outside the scope of Estonian VAT. According to the Law of Obligations, a business is comprised of things, rights and obligations relating to and in the service of the management of the business – including contracts relating to the business.

However, the transfer of a single asset of the business is generally a transaction that is liable to VAT unless the asset is transferred in relation to the merger,
