Transfer of a business as a going concern (TOGC)

When a business is taken over as a going concern, Czech Republic VAT registration may be necessary.

If the transferor is VAT registered, it will be necessary for the transferee to VAT register as a condition of VAT-free TOGC treatment (see 10.58 below for more information regarding TOGC).

If the transferor is not VAT registered, the transferee may not have an immediate requirement to register but it must take the transferor's turnover into consideration when deciding when or if it must register for VAT.
