LexisNexis Market Tracker Report Identifies Key Issues for AGMs in 2013
New rules will impact on preparation for, and reporting at, annual general meetings
LONDON, 19 March 2013 – LexisNexis UK (www.lexisnexis.co.uk), a leading provider of content and technology solutions, today announced the publication of its Market Tracker trend analysis report: ‘Tracking the market: issues at the 2013 AGM’. The report analyses a number of significant legal and market developments in the last year that may have an impact on a company’s 2013 annual general meeting (AGM) and its annual accounts and reports, providing insight into what those developments are likely to mean in practice.
Although many of these changes to the UK corporate governance regime are not yet in force, companies have been encouraged by the Financial Reporting Council, and key bodies representing institutional investors, to start complying with them as soon as possible.

The developments considered include the introduction of a new version of the UK Corporate Governance Code, which contains new provisions on gender diversity and audit tendering, and apply to financial years beginning or after 1 October 2012. Proposed legislative reforms relating to narrative reporting and executive remuneration are also expected to come into force on 1 October 2013.
