This Agreement is made on [date]

[insert name of party] [of OR a company incorporated in [England and Wales] under number [insert registered number] whose registered office is at] [insert address] (Agent),
(each of the Principal and the Agent being a party and together the Principal and the Agent are the parties).
The Principal [manufactures OR manufactures and sells] the Products (as defined below).
The Principal wishes to appoint the Agent as its non-exclusive agent in the Territory (as defined below) for the [marketing OR marketing and sale] of the Products on the terms of this Agreement.
The Agent has agreed to [market OR market and sell] the Products in the Territory on the Principal’s behalf on the terms of this Agreement.

Definitions and interpretation
In this Agreement, unless otherwise provided:
means any entity that directly or indirectly Controls, is Controlled by, or is under common Control with, another entity;
means the Commercial Agents (Council Directive) Regulations 1993, SI 1993/3053;
means the main body of this Agreement, its schedules and appendices, as each may be amended from time to time in accordance with their terms;
