      Definitions

      In this Deed, the following definitions apply:

      Annual Expenditure

      1. all costs, expenses and outgoings reasonably and properly incurred by the Management Company in or incidental to providing all or any of the Services and all sums incurred by the Management Company in relation to the items set out in Schedule 1 and such provision for anticipated expenditure in respect of the Services or the items set out in Schedule 1 as it is reasonable for the Management Company to make SAVE THAT in all cases excluding any VAT charged to the Management Company on any such costs, expenses, outgoings and sums to the extent that the Management Company is entitled to credit for, set-off or recovery in respect of such input tax;
