The Company has been established [as a joint venture] to undertake the Development.
The Company wishes to appoint the Development Manager to carry out the Services on the terms of this Agreement.
Definitions and Interpretation
In this Agreement the following definitions apply:
any and all additional services which the Company may instruct the Development Manager to perform pursuant to clause 9;
Additional Development Fee
the additional fees (if any) payable by the Company to the Development Manager pursuant to clause 9 for performing any Additional Services;
the appointments of the Professional Team to be entered into by the Company or the Building Contractor (if applicable) and the members of the Professional Team or any one of the them;
[name of the architect appointed] or any other person appointed by the Company[(or the Building Contractor)] from time to time to act as the architect for the Development under the terms of this Agreement;
