Within our Practice Note: Tailoring a shelf company, there is a section entitled ‘The registered office’. This section notes the requirements for changing a company’s registered office. These are:

  1. that a board resolution is required in order for a company to change its registered office, and

  2. filing form AD01 with Companies House in order to effect the change

The board resolution may be in the following terms: 'That the Registered Office of the company be changed to ____________ with immediate effect'.
