The services description schedule to an outsourcing agreement sets out the scope and extent of the services to be provided by the supplier to its customer. It is often described as the most important part of the agreement because it forms the core of the parties' agreement. Although commonly drafted and negotiated by the commercial teams of each party, early legal input is important to ensure that the wording is clear and precise, and that the contents of the schedule are consistent with the other provisions of the agreement.

What is the service description schedule?

The schedule describes the services that the customer has contracted the supplier to perform. It is a critical part of the agreement and needs to be clear, precise and contain an appropriate level of detail (see How much detail is required? below).
