What does Quoted company mean?

A company whose equity share capital is included on the Official List in accordance with the provisions of FSMA 2000, Pt 6, or is officially listed in an EEA State, or is admitted to dealing on either the New York Stock Exchange or the exchange known as Nasdaq (CA 2006, s 385(2)). The strategic report

The strategic report All companies (other than small companies) must prepare a strategic report for each financial year. In June 2022 the Financial Reporting Council (FRC) updated its Guidance on the Strategic Report (FRC Guidance) (see FRC Guidance on the Strategic Report below). Annual report CA 2006, s 415 requires all companies that are not micro-entities to also prepare a directors’ report which contains other specified information. Both the strategic report and the directors’ report are integral parts of the annual report. The purpose of the annual report is to provide shareholders with relevant information that is useful for making resource allocation decisions and assessing the directors’ stewardship. The FRC Guidance, on page 13, contains a useful table which summarises the objectives of the various components of the annual report, namely the strategic report, directors’ report, directors’ remuneration report, financial statements and corporate governance report. Small companies exemption A company which is entitled to the small companies (or micro-entities) exemption in respect of any financial year is not required to prepare a strategic report for that year. 2017–2019 Corporate governance reforms [Archived] This archived Practice Note provided an overview of various corporate governance reforms that were announced and/or implemented between 2017–2019, including the Companies (Miscellaneous Reporting) Regulations 2018, the 2018 UK Corporate Governance Code, the Wates Corporate Governance Principles, the 2018 revisions to the AIM Rules and the QCA Code, the BEIS consultation on insolvency and corporate governance and the Kingman review. It has not been updated since 2019. Background In November 2016 the government, acting through the Department for Business, Energy and Industrial Strategy (BEIS), published a green paper on corporate governance reform (Green Paper). The Green Paper sought views on the following areas where the government was considering updating the UK’s corporate governance framework: • executive pay • strengthening the voice of employees, customers and other stakeholders • extending some of the features of the corporate governance regime to large private companies The government invited comments on the Green Paper by 17 February 2017. Following the consultation, in August 2017 the government published its response to the Green Paper in which it announced a package of reforms focused on these three areas. Executive pay The government felt that a small minority of businesses continued to disregard shareholders’ views on executive pay. There were concerns that remuneration committees were not taking sufficient account of wider workforce pay and conditions in setting executive remuneration and that executive pay had become unnecessarily complex

Background to the reforms Fundamental changes to the directors' remuneration reporting regime came into force on 1 October 2013. The Enterprise and Regulatory Reform Act 2013 (ERRA 2013) introduced a new reporting regime and shareholder voting requirements for quoted companies for accounting periods ending on or after 30 September 2013 (2013 regime). At the same time, the Large and Medium-sized Companies and Groups (Accounts and Reports) (Amendment) Regulations 2013, SI 2013/1981 (2013 Regulations) revoked and replaced Schedule 8, introducing a new format and a completely rewritten set of disclosure requirements for remuneration reports. ERRA 2013 and the 2013 Regulations made significant changes to the disclosure of how executive remuneration is structured and the company's decision-making process. A company seeking an initial public offering (IPO) and admission of its securities to trading on AIM, or the Main Market of the London Stock Exchange, will need to appoint a number of parties to advise on the transaction. The main advisers in the deal team are set out below. Financial adviser The financial adviser, which is typically an investment bank or corporate finance firm, will be primarily responsible for managing the IPO process and co-ordinating the other advisers. Some of its responsibilities will include advising on the deal strategy and timetable, the offer structure, the board's composition, the necessary corporate governance structures and any arrangements with selling shareholders.
