What does Confirmation statement mean?

The Small Business, Enterprise and Employment Act 2015 (SBEEA 2015), from 30 June 2016, removed the requirement to file an annual return and replaced it with a requirement to submit a confirmation statement. The provisions are set out in CA 2006, Pt 24 (as inserted by SBEEA 2015, s 92).

Ongoing filing obligations and trading disclosures of a limited liability partnership Coronavirus (COVID-19): Following the COVID-19 outbreak, some Companies House filing and other administrative procedures for limited liability partnerships have been temporarily suspended or changed. For further details of the impact of COVID-19 on such matters, see Practice Note: Coronavirus (COVID–19)—impact on company filing and administrative procedures. A limited liability partnership (LLP) is a body corporate which is formed under the Limited Liability Partnerships Act 2000 (LLPA 2000). The majority of law applicable to LLPs is actually modified company law rather than partnership law (see Practice Note: The nature of a limited liability partnership and its legal framework). The requirements for an LLP's ongoing filing obligations and trading disclosures are set out in the LLPA 2000 and the Companies Act 2006 (CA 2006), as modified and applied by certain statutory instruments. The key statutory instruments are: • the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009 (LLP (Application of CA 2006) Regs) • the Limited Liability Partnerships (Application of Companies Act 2006) (Amendment) Regulations 2013 (LLP (Application of CA 2006) (Amendment) Regs) • the Limited Liability Partnerships (Register of People with Significant Control) Regulations 2016 (LLP (PSC) Regs), as amended by The Information about People with Significant Control (Amendment) Regulations 2017, SI 2017/693 • the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008

A company's annual return (for companies with a made up date on or before 29 June 2016) [Archived] Since 30 June 2016 all UK companies and LLPs will need to file a confirmation statement instead of an annual return. Only if the entity's made up date was on or before 29 June 2016 would it have been required to file an annual return. For information on the confirmation statement see Practice Note: A company's confirmation statement. A company has a duty to deliver an annual return to Companies House which complies with statutory content requirements pursuant to Part 24 of the Companies Act 2006 (CA 2006), as amended by the Companies Act 2006 (Annual Return and Service Addresses Regulations) 2008 and the Companies Act 2006 (Annual Returns) Regulations 2011 (CA 2006 (AR) Regs) (together, the Regulations). The changes to Part 24 of the CA 2006 made by the CA 2006 (AR) Regs) resulted in there being a dual regime of content requirements for the annual return for a short period. The applicable regime depended upon whether the annual return was made up to a date on or before 30 September 2011 or a date on or after 1 October 2011. Are there any penalties for filing corrected accounts and reports within the relevant statutory filing period? Revision of defective accounts For comprehensive information on the statutory provisions governing the revision of defective accounts and reports see Practice Notes: Revision of defective accounts and reports and How to correct company accounts, in particular the provisions under The Companies (Revision of Defective Accounts and Reports) Regulations 2008, SI 2008/373 (as amended by the Companies, Partnerships and Groups (Accounts and Reports) Regulations 2015 (SI 2015/980)) (the Regulations), which were made under section 454 of the Companies Act 2006 (CA 2006). How is Companies House operating during the coronavirus (COVID-19) crisis? On 26 March 2021 Companies House announced that the automatic filing extensions granted by the Corporate Insolvency and Governance Act (CIGA) 2020 for filing deadlines between 27 June 2020 and 5 April 2021, to relieve the burden on companies during the coronavirus (COVID-19) pandemic, will come to an end for filing deadlines that fall after 5 April 2021. For confirmation statement filings, accounts filings and event-driven filings after 5 April 2021, there will be no further automatic extensions and any deadlines that fall after this date will go back to normal. For mortgage charges, while those with an interest in the charge created up to and including 4 April 2021 will continue to receive an automatic extension of ten additional days to file the particulars of a charge, those with an interest in the charge created after 4 April 2021 will need to file within 21 days as normal. Companies that are eligible and cite coronavirus issues in their application can still apply for a three-month extension for accounts filing deadlines that fall after 5 April 2021. However, given that the law only allows a maximum filing period of 12 months, companies that have already had their accounts deadline extended may not be eligible.
