744. General principles of construction of representation.

Whether there is a representation and its nature must be judged objectively according to the impact that whatever is said may be expected to have on a reasonable representee in the position and with the known characteristics of the actual representee1. This is consistent with the basic principle of contractual interpretation which relies on ascertaining the meaning which the document would convey to a reasonable person having all the background knowledge which would reasonably have been available to the parties in the situation in which they were at the time of the contract
