167. Pre-incorporation contracts.

A person who purports to act on behalf of a company or as agent for it at a time when the company has not been formed is personally liable on any contract entered into by him1. This may mean that the solicitor who is acting on a sale or purchase of land for a company which is still in the process of incorporation becomes personally liable on the contract. Equally, he would in these circumstances be entitled to enforce the contract
