If Ofcom1 is satisfied2:
(1) that the holder of a Channel 3 or Channel 5 licence3 is failing to comply with any condition of the licence4, or with any direction given by Ofcom5; and
(2) that the failure mentioned in head (1) above is such that, if not remedied, it would justify the revocation of the licence6,
Ofcom must serve a notice on the holder of the licence7:
(a) stating that Ofcom is satisfied as mentioned in heads (1) and (2) above8;
(b) specifying the respects in which, in its opinion, the licence holder is failing to comply with any
