129. Committees of the BBC Board and the delegation of its functions.

The Board of the BBC1 may set up committees2, whose number, remit and composition are a matter for the Board3. However, there must always be:

  1.  

    (1)     an Audit and Risk Committee, whose members must be nonexecutive members of the Board exclusively4;

  2.  

    (2)     a Nomination Committee, which must have a majority of nonexecutive members of the Board and whose members must include the Director General5; and

  3.  

    (3)     a Remuneration Committee, whose members must be nonexecutive members of the Board exclusively
