Both where the Commercial Agents (Council Directive) Regulations 1993 apply1, and at common law, the agent must make proper efforts to negotiate and conclude transactions2. In the negotiation of a contract the agent must take all reasonable precautions that may be requisite for the protection of his principal3. Any contract made by him must be in accordance with his instructions4 or with usage5. Its form must be such that it is capable of being enforced by the principal6. If the contract is once completed, the agent cannot rescind it
