8 Listing

8.1 Regulation

A public company may apply for listing on the Official List. This will involve further regulation, principally under the Listing Rules which are published and administered by the Financial Conduct Authority (‘FCA’) under the Financial Services and Markets Act 2000. The Listing Rules lay down the various procedures required for obtaining a listing of securities and also impose certain obligations on the company and its directors once the securities are on the Official List.

Listed companies are also expected to comply with the UK Corporate Governance Code (formally known as the ‘Combined Code’)1. The main principles of the Code are set out in
