290 Company reorganisations and the financial promotions rules

The parties involved in a company reorganisation must take care that they do not contravene the rules relating to financial promotions contained in the Financial Services and Markets Act 2000. A person may not communicate a financial promotion, that is, an invitation or inducement to engage in an investment activity, in the course of a business unless he is an authorised person or the contents of the promotion have been approved for the purposes of the Section by an authorised person1.
