287 In general

Where a company reorganisation involves the transfer by one company of all, or part, of its assets and undertaking to another company, there may be problems where the transferor has granted a charge over some or all of those assets in order to secure indebtedness. The implications vary depending upon whether the charge in question is a fixed or floating charge.
