271.1 The basic charge

Direct demergers and certain types of indirect demergers involve the transfer of shares rather than the transfer of a business. Such a transfer ordinarily would constitute a disposal of chargeable assets and prima facie trigger a charge to corporation tax on any chargeable gain.
