257.3 Dissolution of transferor company

When sanctioning the scheme, the court may also order the dissolution of any transferor company without it being wound up1. Where Part 272 of the Companies Act 2006 applies, the date fixed for dissolution must be the same date as that fixed by the court for transfer or transfers referred to in Paragraph 257.13. However, if further steps are necessary to complete the transfer of assets or liabilities of a transferor company, the court may postpone the dissolution of the transferor company until the date which it fixes for completion
