237 Express power to reorganise

The Companies Act 2006 provides that a company’s objects are unrestricted unless its articles specifically restrict those objects1. Thus, the company’s objects will only cause a potential problem in relation to a scheme of arrangement if its articles expressly (or perhaps impliedly) prohibit the company from carrying out such a scheme, which seems unlikely in practice2.
