232.2 Right of dissenting member to give notice of dissent

Although a Section 110 sale is binding on all members of the company, dissatisfied members have a right to dissent where that sale has been carried out in the context of a members’ voluntary winding up. In that case, any member who did not vote in favour of the special resolution sanctioning the sale may, within seven days after the resolution is passed, deliver a notice1 addressed to the liquidator at the company’s registered office, expressing his dissent, and require the liquidator either to abstain from carrying out the sale,
