23 Unfair prejudice

Where the reorganisation of a company goes ahead against the wishes of a minority shareholder, that shareholder may be in a position to seek relief under Section 994 of the Companies Act 2006. Under this Section a member of a company may apply to the court for an order for appropriate relief on the ground that the company’s affairs are being or have been conducted in a manner which is unfairly prejudicial to the interests of the members generally or of some part of its members (including at least himself) or that any actual or proposed act
