196 Responsibility for prospectus or listing particulars

Where the offeror is aiming to seek a listing for shares issued to the target’s shareholders (in other words, an offer of securities to the public in the United Kingdom or the admission of securities to trading on a regulated market in the United Kingdom), a prospectus (or exceptionally listing particulars1) may have to be published, in which case further obligations will be placed on the directors.
