194.1 Directors’ responsibility for accuracy of information

Documentation becomes very important during the offer period. The first, and in some ways most crucial, document is the ‘offer document’, setting out the basis of the offer for a target company. This should normally be sent to shareholders of the target company and other persons with information rights within 28 days of the announcement of a firm intention to make an offer1. Once this has been done, both the board of directors of the offeror and the target will wish to make representations
