174 Consideration

174.1 General

The consideration for the shares in the target company may be cash1, shares, loan stock, loan notes or a combination of all or some of these. The offeror will be aware that there may be chargeable gains and other tax implications for the sellers, be they individuals or a company, of the various forms of consideration because tax arising from the sale is likely to be a factor in the sellers’ decision as to whether to accept the terms of consideration.
