Where the target company or the acquiring company is listed, or is seeking a listing on the Official List of the Financial Conduct Authority (FCA), the parties may have to take account of the provisions of the UK listing regime, which are governed by the FCA’s Listing Rules and Prospectus Rules, which have statutory effect1.
