132 Sellers’ release from guarantees

In many cases, the sellers will have given guarantees in relation to the obligations of the target company. Consequently, it is prudent for them to include a clause in the share sale agreement under which the buyer undertakes to procure the release of such guarantees and, pending such release, to indemnify the sellers against liability under or in respect of it.
