80.2 Period for agreeing to a written resolution

If a proposed written resolution is not passed before the end of the period specified in the company’s articles for this purpose, the resolution will lapse1. If no period is specified, the period for agreement will expire at the end of 28 days beginning with the circulation date2. Consequently, where a member signifies his agreement to a written resolution after the expiry of the relevant period, that agreement is of no effect3.
