54.1 Duties enforceable in the same way as fiduciary duties

The Companies Act 2006 provides that where a director breaches (or threatens to breach) one or more of the general duties, the consequences are the same as they would have been had the corresponding common law rule or equitable principle still applied1. Those duties are accordingly enforceable in the same way as any other fiduciary duty which a director owes to his company2.
