53 Relationship between the duties and the general law

As well as complying with the general duties, directors must continue to comply with all other applicable laws. The duties do not require or authorise a director to breach any other prohibition or requirement imposed on him by law. But what is the position where there appears to be a conflict between the general duties and the general law? The Act gives some guidance in that it provides that the effect of the general duties is subject to any rule of law enabling the company to give authority (specifically or generally)
